Welcome to Flag Safety Services. By accessing our website or using our traffic control services, you agree to be bound by these Terms of Service ("Terms"). Please read these Terms carefully before using our services.

1. Acceptance of Terms

By accessing or using our website and services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use our services. These Terms constitute a legally binding agreement between you and Flag Safety Services.

2. Services Description

Flag Safety Services provides professional traffic control and flagger services, including:

  • Hourly, daily, monthly, and project-based flagging services
  • Emergency traffic control response
  • Traffic management planning and consultation
  • Certified flagger deployment

Specific service details, pricing, and availability are provided in service agreements and quotes.

3. Service Requests and Quotes

Quote Requests

Submitting a quote request does not guarantee service. Quotes are estimates based on information provided and may be subject to change based on actual project requirements. All quotes are valid for 30 days unless otherwise specified.

Booking Confirmation

Services are confirmed only upon execution of a written service agreement and/or receipt of required deposits. Flag Safety Services reserves the right to decline service requests at its discretion.

4. Pricing and Payment

Rates

Service rates are determined by service type, duration, location, and other project factors. Current rates are provided in quotes and service agreements. Flag Safety Services reserves the right to adjust rates with reasonable notice.

Payment Terms

  • Payment is due according to terms specified in your service agreement
  • Standard payment terms are NET 10 unless agreed otherwise
  • Accepted payment methods: Major credit cards, company checks, ACH transfers. Credit card payments are subject to a convenience fee of 3%.
  • Late payments may incur interest at 1.5% per month

Preliminary Notice

This document shall serve as preliminary notice as allowed and permitted under applicable law. By accepting these Terms of Service, whether by electronic acknowledgment, signature, or use of our services, the customer acknowledges and agrees that this document constitutes sufficient notice of the terms, conditions, and requirements contained herein. The customer further acknowledges that they have had the opportunity to review these terms and have accepted them knowingly and voluntarily.

Deposits

A deposit may be required for large projects, new customers, or special circumstances. Deposits are applied to the final invoice.

5. Cancellations and Rescheduling

  • Cancellations must be made at least 24 hours in advance
  • Short-notice cancellations may be subject to a cancellation fee
  • No-shows will be charged the full service amount
  • Rescheduling is subject to availability

6. Client Responsibilities

Clients are responsible for:

  • Providing accurate project information and requirements
  • Ensuring safe access to the work site
  • Obtaining necessary permits and permissions
  • Providing adequate work space and conditions for flaggers
  • Prompt payment for services rendered
  • Notifying us of site hazards or special conditions

7. Safety and Liability

Safety Standards

Flag Safety Services maintains the highest safety standards and complies with all applicable federal, state, and local regulations including MUTCD guidelines and OSHA requirements. All flaggers are properly trained and certified.

Limitation of Liability

To the fullest extent permitted by law, Flag Safety Services shall not be liable for:

  • Indirect, incidental, special, or consequential damages
  • Lost profits, revenue, or business opportunities
  • Third-party claims arising from client-provided information
  • Delays caused by circumstances beyond our control

Our total liability for any claim shall not exceed the amount paid for the specific service giving rise to the claim.

Insurance

Flag Safety Services maintains comprehensive insurance coverage including general liability, workers' compensation, and umbrella insurance. Certificates of insurance are available upon request.

8. Federal and Davis-Bacon Projects

For federal or Davis-Bacon covered projects, the following additional terms apply:

  • Prevailing wage rates as specified by the Department of Labor apply
  • WH-347 certified payroll documentation will be provided
  • Clients are responsible for providing accurate wage determinations
  • Additional documentation may be required for compliance

9. Website Use

Intellectual Property

All content on our website, including text, graphics, logos, and images, is the property of Flag Safety Services and protected by copyright and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our written permission.

Website Accuracy

While we strive to keep information on our website accurate and current, we do not guarantee the completeness or accuracy of all content. Information may be changed without notice.

10. Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

11. Termination

Either party may terminate service agreements with written notice as specified in the agreement. Upon termination, any outstanding balances become immediately due. Flag Safety Services may terminate services immediately for non-payment, safety violations, or breach of these Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Minnesota, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Hennepin County, Minnesota.

13. Modifications to Terms

Flag Safety Services reserves the right to modify these Terms at any time. Changes will be effective upon posting to this website. Your continued use of our services after changes constitutes acceptance of the modified Terms.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
